Sub-Shop Affiliate Influencer & Webmaster Program

Promotion: Affiliates are granted a non-exclusive license to market and promote Sub-Shop.com products solely using marketing materials supplied or approved by the Company. 

Compliance: Affiliates shall comply with all applicable laws, regulations, and industry standards, including but not limited to the Federal Trade Commission ("FTC") guidelines on endorsements and testimonials. 

Content Standards: Affiliates are strictly prohibited from engaging in deceptive advertising practices or making any claims about the Company's products that are false, unsubstantiated, or misleading.

Unauthorized Use of Intellectual Property: Affiliates are prohibited from using the Company's trademarks, copyrighted materials, or other intellectual property without prior written authorization. 

Spam and Unsolicited Communication: Affiliates shall not engage in the distribution of unsolicited emails or other forms of spam to promote Sub-Shop.com products. 

Promotion in Inappropriate Contexts: Affiliates are forbidden from marketing Sub-Shop.com products on platforms or websites containing offensive, illegal, or otherwise unsuitable content, as determined solely by the Company.

Rate: Affiliates shall earn a one-time commission (non-recurring) commission of 7% on net sales derived from valid, completed orders, excluding cancellations, refunds, or chargebacks. 

Payment: Commissions will be disbursed monthly via PayPal, provided that the Affiliate's account balance meets or exceeds $50.00 USD. Balances below this threshold will roll over to subsequent payment periods. 

Tracking: The Company utilizes unique affiliate tracking links to monitor sales. The Company disclaims liability for any tracking errors caused by the improper use or malfunction of tracking links by the Affiliate.

Duration: This Agreement shall remain in effect unless terminated by either party in accordance with its terms. 

Termination: Either party may terminate this Agreement, with or without cause, upon providing written notice to the other party. 

Post-Termination Obligations: Upon termination, the Affiliate shall immediately cease using all promotional materials provided by the Company and shall remove all affiliate links from their platforms.

The Affiliate agrees to maintain the confidentiality of any proprietary or sensitive information provided by the Company, including but not limited to marketing strategies, pricing information, or customer data. Such information shall not be disclosed to any third party without the Company's prior written consent.

The Company shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Affiliate's participation in the Program, including but not limited to loss of revenue, profits, or data.

The Affiliate agrees to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to the Affiliate’s breach of this Agreement or violation of applicable laws or regulations.

This Agreement shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of laws provisions.

The Company reserves the right to amend or modify the terms of this Agreement at any time, at its sole discretion. The Company will notify Affiliates of significant changes via email. Continued participation in the Program following the notification of such changes constitutes acceptance of the revised terms.

By enrolling in the Sub-Shop.com Affiliate Program, you affirm that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.
